End-User License Agreement

This End-User License Agreement ("Agreement") is a binding agreement between you ("you," "User," or "Customer") and Appvertiser AI Inc, a Delaware corporation located at 16192 Coastal Highway, Lewes, DE 19958 ("Appvertiser AI," "we," "us," or "our"). This Agreement governs your access to and use of the Appvertiser AI platform, software, and related services (collectively, the "Service").

By accessing or using the Service, or by clicking to accept this Agreement, you agree to be bound by its terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not access or use the Service.

1. License Grant

Subject to your compliance with this Agreement and payment of any applicable fees, Appvertiser AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

2. Restrictions

You will not, and will not permit any third party to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law; (c) resell, sublicense, rent, lease, or otherwise make the Service available to any third party; (d) circumvent or disable any security or access controls; (e) use the Service to build a competing product; or (f) use the Service in violation of any applicable law or the rights of any third party.

3. Ownership and Intellectual Property

The Service, including all software, models, algorithms, content, and related intellectual property, is and remains the exclusive property of Appvertiser AI and its licensors. Except for the limited license granted above, this Agreement does not transfer any right, title, or interest in the Service to you. You retain all rights in the data you provide to the Service (“Customer Data”).

4. Customer Data and Privacy

Your use of the Service is also governed by our Privacy Policy, available at [https://www.appvertiser.ai/privacy-policy]. You grant Appvertiser AI the rights necessary to process Customer Data solely to provide and improve the Service, subject to that Privacy Policy and any separate data processing agreement between the parties.

5. Acceptable Use

You agree to use the Service responsibly and not to: (a) upload unlawful, infringing, or harmful content; (b) attempt to gain unauthorized access to any systems or accounts; (c) interfere with or disrupt the integrity or performance of the Service; or (d) use the Service to transmit malware or engage in fraudulent or deceptive activity.

6. Third-Party Services and Integrations

The Service may integrate with third-party platforms and services (for example, advertising channels and attribution providers). Your use of any third-party service is governed by that third party’s own terms, and Appvertiser AI is not responsible for third-party services.

7. Fees

Access to the Service may require payment of fees as set out in an applicable order form, subscription plan, or separate commercial agreement. Fees are non-refundable except as expressly stated in that agreement or required by law.

8. Term and Termination

This Agreement remains in effect for as long as you use the Service or maintain an active subscription. We may suspend or terminate your access if you materially breach this Agreement. Upon termination, your license ends and you must cease all use of the Service. Sections intended to survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Appvertiser AI does not warrant that the Service will be uninterrupted, error-free, or that any results, forecasts, or recommendations produced by the Service will achieve any particular outcome. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPVERTISER AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE. APPVERTISER AI’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED [THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE [12] MONTHS PRECEDING THE CLAIM / OTHER CAP]. [REVIEW WITH COUNSEL.]

11. Indemnification

You agree to indemnify and hold harmless Appvertiser AI from any claims, damages, or expenses arising out of your use of the Service in violation of this Agreement or applicable law. [REVIEW WITH COUNSEL.]

12. Changes to This Agreement

We may update this Agreement from time to time. If we make material changes, we will provide notice (for example, by posting the updated Agreement at this URL and updating the “Last updated” date). Your continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

This Agreement is governed exclusively by the laws of the State of California, without regard to its conflict-of-laws principles. Venue for any legal action arising out of or relating to this Agreement will lie within the State of California.
